Flyspace Terms of Service
Last updated: 30 September 2026
These Terms of Service (“Terms”) govern your access to and use of Flyspace, including the web app at app.flyspace.ai, its APIs (REST, GraphQL), MCP server, CLI, agent runtime, shared document pages and any related services (together, the “Service”).
The Service is provided by Flycoder Pty Ltd (ABN 64 688 279 852), a company registered in New South Wales, Australia (“Flycoder”, “we”, “us”, “our”).
By creating an account, accepting an invitation, or using the Service, you agree to these Terms. If you use the Service on behalf of an organisation, you confirm you have authority to bind that organisation, and “you” includes it.
1. Key definitions
- Workspace: a space on Flyspace (a team workspace or a community) with its own channels, members and settings.
- Workspace Owner: the person or organisation that created a Workspace and holds its subscription. Workspace Admins act on the Owner’s behalf.
- Member: anyone who has joined a Workspace. Guest: anyone viewing public content without being a Member.
- Content: anything submitted to or generated in the Service, including messages, posts, documents, files, attachments, channel folders, agent configuration (such as
AGENTS.mdand skill files) and AI Output. - Agent: the AI agent that runs in a channel and can read and write files, run scripts, call tools and run scheduled automations.
- AI Output: text, code, files, translations, audio or actions produced by an Agent or other AI feature.
- Host: the machine an Agent runs on. On the Local Agent plan it is your own computer; on the Cloud Agent plan it is infrastructure we operate for you.
2. Eligibility and accounts
- You must be at least 16 years old, or the age of digital consent where you live if higher, to use the Service.
- Access is currently by invitation only. We may accept or decline any request for access.
- You are responsible for your login credentials, CLI tokens, API keys and any activity under your account. Tell us promptly at josephj@flycoder.io if you believe your account has been compromised.
- Information you give us must be accurate and kept up to date.
3. Plans, trials and payment
- Plans. Paid plans are described on our pricing page. Prices are in US dollars and exclude taxes unless stated. Where required (for example GST for Australian customers), tax is added at checkout.
- Free trial. A new Workspace starts a 14 day free trial without a payment method. One trial per account. We may end a trial early if we reasonably suspect abuse (for example repeated sign-ups to obtain further trials).
- End of trial. If no payment method is added when the trial ends, the subscription is paused and the Workspace is locked: Members cannot read or write Content and Agents stop running. Your Content is retained as described in section 11.
- Billing. Subscriptions renew automatically each billing period until cancelled. Payments are processed by Stripe, and you authorise us (through Stripe) to charge your payment method. If a payment fails, we may lock the Workspace until it is resolved.
- Add-ons. AI Credit and extra storage are prepaid. AI Credit is not cash, cannot be transferred and, unless required by law, is not refundable. Unused AI Credit may expire as stated at purchase.
- Cancellation. A Workspace Owner or Admin can cancel at any time. Cancellation takes effect at the end of the current billing period. Except as required by law (see section 14), fees already paid are not refunded.
- Price changes. We will give at least 30 days’ notice of a price increase. It applies from your next billing period after the notice ends, and you may cancel before then.
4. Your Content
- You own your Content. We claim no ownership over it.
- Licence to us. You grant Flycoder a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit, translate, convert to audio and display your Content only as needed to operate, secure and improve the Service for you, and to do anything you instruct through the Service (for example publishing a shared page). This licence ends when your Content is deleted from the Service, except for copies in backups kept for a limited period.
- No training on your Content. We do not use your Content to train AI models, and we do not sell it.
- Your responsibility. You confirm you have the rights needed to submit your Content, including any Content you import (for example a Facebook Group or Slack export), and that it does not breach these Terms or the law.
- Shared pages. If you make a document public (for example via a share link or social sharing), anyone with the link can view it, and it may be cached or indexed by third parties. You can turn sharing off, but we cannot recall copies others have already made.
5. Workspace Owner responsibilities
A Workspace Owner is responsible for their Workspace, including:
- Deciding who can join, which channels are public or private and whether Guest access is on.
- Setting and enforcing their own community rules and moderating Content in their Workspace.
- Having a lawful basis and, where required, a privacy notice for any personal information of Members they collect or process through the Service (for example via Agents, automations, integrations or imports).
- The configuration of their Agents (persona, instructions, skills, integrations, automations) and what those Agents are allowed to access.
- Ensuring Members agree to these Terms.
For personal information that Workspace Owners control, Flycoder acts on the Owner’s instructions to provide the Service.
6. AI features and Agents
- AI Output can be wrong. AI Output may be inaccurate, incomplete, offensive or similar to other people’s content. Review it before relying on it, especially for legal, financial, medical, safety or other important decisions. AI Output is not professional advice.
- Agents take real actions. An Agent may create, change or delete files, run code, send messages and call external services, including through scheduled automations and without a human watching. You are responsible for what you ask Agents to do, for the permissions and integrations you give them, and for reviewing their work. Keep backups of anything important.
- Ownership of AI Output. As between you and Flycoder, AI Output generated for you is your Content. We make no promise that AI Output is protectable by copyright or free of third-party rights.
- Model providers. AI features are powered by third-party model providers (currently Anthropic, and others we may add). Content sent to an AI feature is processed by that provider under its terms. You must not use AI features in a way that breaches the provider’s usage policies.
- Bring your own key (BYOK). If you connect your own API key or AI subscription, you are responsible for its costs, its security and complying with that provider’s terms. We store keys encrypted and use them only to run AI features you request.
7. Local Agent plan
- On the Local Agent plan, the Agent runs on a computer you control and connects out to Flyspace. You are responsible for that computer, its security, its uptime, what it can access (files, network, credentials) and any software you install for it.
- Agent actions happen on your machine with the permissions you give it. We are not responsible for loss or damage to your computer, files or systems caused by an Agent carrying out instructions given in your Workspace, except to the extent caused by our negligence or breach of these Terms.
- Content kept only on your computer (for example channel folders and agent session history) is stored by you, not us, and is not covered by our backups.
8. Cloud Agent plan
- On the Cloud Agent plan, we run your Agent on infrastructure we operate or rent (currently Fly.io), with the storage allowance of your plan.
- We take reasonable steps to isolate Workspaces from each other, but you should not store Content there that you are not permitted to process on third-party cloud infrastructure.
- We may restart, move or limit a Cloud Agent for maintenance, security or to stop excessive resource use.
9. Acceptable use
You must not, and must not let an Agent or anyone else, use the Service to:
- Break any law, or infringe anyone’s intellectual property, privacy or other rights.
- Post or share content that is child sexual abuse material, terrorist or violent extremist content, non-consensual intimate imagery, or that harasses, threatens or incites hatred or violence against others.
- Send spam or unsolicited bulk messages, or run scams, phishing or fraud.
- Distribute malware, attack or probe systems without authorisation, mine cryptocurrency, or run denial-of-service or other activity that harms our or others’ infrastructure.
- Try to access other Workspaces, accounts or data you are not authorised to access, or get around security, rate limits, plan limits or Workspace locks.
- Use the Service mainly as file storage or a content delivery network unrelated to your Workspace.
- Resell or sublicense the Service without our written agreement.
- Use AI features to build a competing model, or in breach of the model provider’s usage policies.
We may remove Content, pause Agents or suspend access if we reasonably believe this section has been breached. We will usually tell you first, unless there is an urgent risk or we are legally prevented.
10. APIs, CLI and integrations
- API, MCP and CLI access is subject to these Terms and to reasonable rate limits. Keep tokens secret; anything done with your token is treated as done by you.
- The Service connects to third-party services you choose (for example Slack, GitHub, Google). Your use of them is governed by their terms, and we are not responsible for them. Disconnecting an integration stops our access going forward.
- If you build your own frontend on our APIs, you are responsible for it and for how it presents Content to your users.
11. Data export, locking and deletion
- Export. While your Workspace is active, Owners and Admins can export their Content. We do not lock you in.
- Locked Workspaces. Content in a Workspace locked for a paused or unpaid subscription is retained for at least 90 days. We will email the Owner before deleting it. During that time, the Owner can reactivate the Workspace or ask us for an export.
- Closing a Workspace or account. After closure, we delete Content from live systems within 30 days and from backups within 90 days, except where the law requires us to keep it.
- Our handling of personal information is described in our Privacy Policy.
12. Our intellectual property and feedback
- The Service, including its software, design and branding, belongs to Flycoder and its licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the Service during your subscription. They do not transfer any of our intellectual property to you.
- If you send us feedback or suggestions, we may use them without obligation to you.
13. Availability and changes to the Service
- We aim to keep the Service available and reliable, but it is provided without a guaranteed uptime level. There may be planned maintenance and unplanned outages.
- Some features are labelled beta or early access. They may change, break or be removed, and are provided as-is.
- We may change or discontinue features. If we remove a feature you pay for in a way that materially reduces the Service, we will give reasonable notice and you may cancel and receive a pro-rata refund of prepaid fees for the unused period.
14. Australian Consumer Law and other consumer rights
Nothing in these Terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by the Australian Consumer Law or any other law that cannot lawfully be excluded or limited (Non-excludable Rights). If you are a consumer in another country, you also keep any mandatory rights you have under the laws of that country.
Where the law allows us to limit our liability for failing to meet a consumer guarantee, our liability is limited, at our choice, to supplying the services again or paying the cost of having them supplied again.
15. Disclaimers
Subject to section 14, the Service and all AI Output are provided “as is” and “as available”. To the extent permitted by law, we exclude all warranties not expressly stated in these Terms, including warranties of merchantability, fitness for a particular purpose and that the Service will be error-free or uninterrupted.
16. Limitation of liability
Subject to section 14 and to the extent permitted by law:
- Neither party is liable to the other for indirect or consequential loss, or for loss of profits, revenue, data or goodwill, arising out of or in connection with these Terms or the Service.
- Flycoder’s total liability arising out of or in connection with these Terms or the Service is limited to the greater of (a) the fees you paid us for the Service in the 12 months before the event giving rise to the claim, and (b) US$100.
- These limits do not apply to liability that cannot be limited by law, including liability for death or personal injury caused by negligence, or for fraud.
17. Indemnity
You indemnify Flycoder against third-party claims, and reasonable costs of defending them, to the extent they arise from your Content, your breach of these Terms or the law, or actions an Agent took on your instructions in your Workspace. This does not apply to the extent the claim is caused by our breach of these Terms or our negligence.
18. Suspension and termination
- You may stop using the Service and close your account or Workspace at any time.
- We may suspend or terminate your access if you materially breach these Terms and do not fix it within 14 days of notice, immediately if the breach is serious (for example sections 9.2 to 9.5) or if we are required by law, or with 30 days’ notice for any other reason. If we terminate without cause, we will refund prepaid fees for the unused period.
- On termination, section 11 applies to your Content. Sections that by their nature should survive (including 4.4, 6.1, 12, 14 to 17, 19 and 20) continue to apply.
19. Changes to these Terms
We may update these Terms. For material changes we will give at least 30 days’ notice by email or in the app before they take effect. Continuing to use the Service after that date means you accept the updated Terms. If you do not agree, you may cancel before the change takes effect.
20. General
- Governing law. These Terms are governed by the laws of New South Wales, Australia. Each party submits to the non-exclusive jurisdiction of its courts. This does not remove any right a consumer has to bring proceedings in their own country.
- Disputes. Before starting proceedings (other than for urgent relief), please contact us so we can try to resolve the issue informally within 30 days.
- Notices. We send notices to the email on your account or through the app. Send notices to us at josephj@flycoder.io.
- Assignment. You may not transfer your rights under these Terms without our consent. We may transfer them as part of a merger, acquisition or sale of the Service, and will tell you if we do.
- Whole agreement. These Terms, together with our Privacy Policy and any order or plan details you accept, are the entire agreement between us about the Service.
- Severability and waiver. If a provision is unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver of it.
- Language. These Terms are written in English. If we provide a translation, the English version prevails to the extent of any inconsistency, unless local law requires otherwise.
